IRS regulations
Most states adopted legislation conforming with the federal check-the-box entity classification regulations which were issued at the end of 1996 in the case of entities with two or more persons. Single member entities were not so broadly addressed resulting in the possibility of some states treating the same entity as a corporation or partnership that the IRS disregards due to its nonelection. A review of each state's legislation in this area may be useful.
