La validez de la firma electrónica en un pagaré y su ejecución en juicio ejecutivo en Guatemala

El pagaré es un título de crédito que conlleva la promesa incondicional de pagar una suma determinada de dinero y que debe cumplir para su validez con ciertos requisitos generales y específicos conforme el Código de Comercio, Decreto 2-70 del Congreso de la República y sus reformas (el “Código de Comercio”), dentro de los cuales se encuentran los relativos al nombre y firma del deudor[1].
Asimismo, debe cumplir el pagaré con los requisitos aplicables a las Letras de Cambio[2], especialmente con lo relativo a incluir el texto “libre de protesto”[3], para garantizar que en caso de ejecución no será necesario formalizar el “protesto” del pagaré.
Conforme el Código de Comercio, el cobro de un título de crédito da lugar al procedimiento ejecutivo, sin necesidad de reconocimiento de firma ni de otro requisito, salvo que el protesto fuere legalmente necesario[4]. Asimismo, establece dicho código que cualquier controversia relativa a títulos ejecutivos se resolverá en concordancia con lo estipulado en el Código Procesal Civil y Mercantil, Decreto Ley No. 107 del Congreso y sus reformas[5] (el “Código Procesal Civil y Mercantil”).
El pagaré al ser un título de crédito se ejecuta mediante un juicio ejecutivo de acción cambiaria regulado conforme el Código Procesal Civil y Mercantil y deberá considerarse en la ejecución del mismo, el criterio judicial existente respecto a que se debe acompañar a la demanda el título de crédito original, que, en este caso, sería el pagaré original.
Ahora bien, ya que hemos determinado los principales requisitos del pagaré como título de crédito y el procedimiento judicial para hacer valer la promesa incondicional de pago en él contenida, debemos responder sí conforme la legislación guatemalteca es viable que un pagaré sea firmado electrónicamente y en caso de incumplimiento, éste sea ejecutado judicialmente.
Para responder a lo anterior, debemos acudir a la Ley para el Reconocimiento de Comunicaciones y Firmas Electrónicas, Decreto 47-2008 del Congreso y sus reformas (la “Ley”), en la que se indica que no se negarán efectos jurídicos, validez o fuerza obligatoria a un contrato por la sola razón de que esa comunicación o ese contrato estén en forma de comunicación electrónica[6].
