Demarest assisted Abu Dhabi Equity Partners 1 Ltd. to develop the structure of the transaction as well as to prepare and formalize all the documents necessary to implement the structure.

Financing of the plant São Fernando Açúcar e Álcool Ltda through an Export Prepayment (Sale and Purchase) Agreement, by which São Fernando Açúcar e Álcool Ltda undertakes to sell certain quantity of ethanol to Abu Dhabi Equity Partners 1 Ltd through the endorsement of several sets of Agricultural Certificates of Deposit and Agricultural Warrants, and Abu Dhabi Equity Partners 1 Ltd undertakes to pay the Company the amount of One Million Four Hundred Seventy Thousand US Dollars.
