Las entidades financieras recuperaron la facultad de distribuir utilidades

El 2 de junio de 2004, el Banco Central de la República Argentina, mediante la Comunicación “A” 4152, dejó sin efecto la suspensión general para distribuir utilidades que había sido dispuesta por la Comunicación “A” 3574 más de dos años atrás (22 de abril de 2002). Sin embargo, pese al levantamiento de la suspensión general, la distribución de utilidades debe ser previamente autorizada por el BCRA para poder realizarse.
En aquel momento, el BCRA emitió la Comunicación “A” 3574 en la cual estableció, sin mayores aclaraciones, el siguiente párrafo: “Además, y hasta que esta institución comunique lo contrario, queda suspendida la distribución de utilidades”.
Además de dicha suspensión general, la Comunicación “A” 3785 impuso dos restricciones específicas a la distribución de utilidades que no han sido suspendidas por la nueva norma. La Comunicación “A” 3785 está relacionada con la compensación otorgada a las entidades financieras por la pesificación asimétrica dispuesta por los artículos 28 y 29 del Decreto Nº 905/2002. Por lo tanto:
(i) no pueden distribuir dividendos en efectivo las entidades financieras que registren los títulos recibidos en compensación – Boden 2007 2% en pesos y/o Boden 2012 en dólares – a valor técnico en el activo del balance; y
(ii) no pueden distribuir dividendos en efectivo las entidades financieras que hayan optado por canjear los mencionados bonos en pagarés del Gobierno Nacional y mantuvieran dichos pagarés en su poder.
Posteriormente, el 17 de enero de 2003, el BCRA emitió la Comunicación “B” 7683 y recordó que se encontraba vigente la suspensión de la distribución de utilidades originalmente establecida por la Comunicación “A” 3574.
De acuerdo con lo dispuesto por la Comunicación “A” 4152, el levantamiento de la suspensión para distribuir utilidades está condicionado a que las entidades financieras:
(i) no se encuentren alcanzadas por los procedimientos establecidos en los artículos 34 y 35 bis de la Ley Nº 21.526 de Entidades Financieras, que involucran la regularización, saneamiento o reestructuración de las entidades financieras;
(ii) no reciban asistencia financiera del BCRA (redescuentos y/o adelantos); y
(iii) no vean afectada su liquidez o...
