Honduras: Nueva Regulación de Gobierno Corporativo aplicable a las Instituciones Supervisadas

El pasado 4 de octubre de 2022, la Comisión Nacional de Bancos y Seguros (CNBS) emitió la Circular CNBS No. 15/2022 donde se acuerda reformar el actual Reglamento de Gobierno Corporativo para las Instituciones Supervisadas, siendo este reformado por última vez en el año 2016 mediante Resolución GE No.545/13-07-2016, siendo esta publicada y entrando en vigor a partir del 22 de octubre de 2022 por medio de su publicación en el diario oficial La Gaceta.
La Circular 15/2022 establece un plazo de ocho (8) meses contados a partir del 22 de octubre de 2022 para que todas las instituciones supervisadas puedan adoptar e implementar las nuevas disposiciones regulatorias.
Con la Implementación del Marco Integral de Supervisión Basada en Riesgos, se considera oportuno establecer un solo lineamiento de Gobierno Corporativo de aplicación general para todas las Instituciones Supervisadas, razón por la cual en la nueva reforma del Reglamento de Gobierno Corporativo para las Instituciones Supervisadas se contempla la fusión de dos normativas, siendo estas las siguientes:
- Normas de Gobierno Corporativo para las Instituciones de Seguros
- Reglamento de Gobierno Corporativo para las Instituciones Supervisadas
A partir de la entrada en vigor del Nuevo Reglamento de Gobierno Corporativo para las Instituciones Supervisadas quedan sin valor y efecto la Resolución GE No. 1432/30-07-2013 y la Resolución GE No.545/13-07-2016, cada una contentiva de las normativas enlistadas. De igual manera, se actualizaron las disposiciones que contemplan cada una de las normativas anteriormente mencionadas, con la principal finalidad de que las Instituciones Supervisadas a través de los Órganos de Administración y Dirección deban elaborar e implementar políticas internas que desarrollen y promuevan el buen Gobierno Corporativo.
Una de las nuevas figuras que se incorpora y vale la pena destacar es el Gobierno de Riesgo que tiene como principal función fortalecer y promover una cultura del riesgo sólida, un apetito por el riesgo bien desarrollado y articulado, mediante la identificación de responsabilidades de las distintas partes de la organización para tratar y gestionar el riesgo.
De igual manera, encontramos la incorporación de la figura del “Comisario” a la regulación, donde se define su función y se establecen facultades y obligaciones que el mismo debe velar de cumplir durante el ejercicio de su cargo. Asimismo...
