Nicaragua: Cómo maximizar el valor de su empresa a través de la protección de sus activos intangibles

Los activos intangibles, como bien sugieren su nombre, consisten en los bienes de naturaleza inmaterial, que implican un derecho o privilegio y, que, bien gestionados, tienen la particularidad de generar rentabilidad y beneficios a las empresas. Una de sus características esenciales es que son el resultado de la capacidad creativa e innovadora del capital humano y entre algunos ejemplos encontramos: las marcas, patentes, secretos industriales, los derechos de autor, dominios de internet, franquicias, know how.
Tradicionalmente se consideraban los bienes materiales: edificios, infraestructura, mobiliarios, maquinarias, como los activos más valiosos de las empresas; sin embargo, con la inevitable revolución de las tecnologías de la información, la inteligencia artificial, y el crecimiento de las economías, esta situación dista de la realidad, y con más frecuencia, los activos intangibles pasan a un plano prioritario respecto de los primeros. Los softwares pasan a sustituir grandes fábricas, el “Good will” o el prestigio de una marca, pasa a tener un valor más significativo frente a la propiedad física, las empresas que logran subsistir en un mundo tan competitivo son aquéllas que se apalancan en tecnología -basta con apreciar el contexto actual de pandemia-.
El presente artículo pretende identificar algunos de los beneficios más visibles de una adecuada gestión de los activos intangibles, a fin de promover el interés de los lectores en torno a hacer uso del sistema de protección de la propiedad intelectual que cada país provee dentro del marco de protección mínima internacional; pero ¿qué debo proteger? y ¿cómo debo protegerlo?; corresponderá como primer paso, realizar un preciso análisis o auditoría de los activos intangibles con los que cuenta su empresa; para ello, es recomendable contar con la asesoría de un profesional de la materia tanto para la identificación de los activos protegibles como para la definición del alcance óptimo de protección (por ejemplo, un mismo activo intangible puede ser protegido desde diferentes formas de propiedad intelectual).
El inventario y valor de los bienes inmateriales evidentemente estará en dependencia del giro comercial de la empresa de que se trate; así las cosas, las marcas y otros signos distintivos (nombres comerciales, slogans) suelen ser activos de extraordinario valor pues permiten y garantizan la distintividad de productos y...
